Affiliate Program Terms and Conditions

Welcome to the Frontro Affiliate Program. These Affiliate Program Terms and Conditions ("Agreement") govern your participation as an affiliate partner ("Affiliate," "you," or "your") in the Frontro affiliate program operated by Frontro, Inc. ("Frontro," "Company," "we," "us," or "our").

Overview

The Frontro Affiliate Program allows approved affiliates to earn commissions by referring new customers to Frontro's platform and services. This Agreement sets forth the terms and conditions that govern your participation in the program, including commission rates, payment terms, promotional guidelines, and compliance requirements.

Key Program Highlights

Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below:

• "Affiliate Link" means a unique tracking URL provided to you by Frontro that identifies you as the referring affiliate for tracking and commission purposes.

• "Affiliate Materials" means banners, logos, text links, promotional content, and other marketing materials provided by Frontro for use in your promotional activities.

• "Commission" means the compensation paid to you based on Qualifying Transactions generated through your Affiliate Links.

• "Frontro Platform" means the Frontro website, applications, services, and related products offered by Frontro.

• "Frontro Platform Fee" means the fee charged by Frontro to creators for use of the platform, currently twenty percent (20%) of each transaction.

• "Qualifying Transaction" means a completed transaction by a Referred Customer that meets all eligibility requirements set forth in this Agreement.

• "Referred Customer" means a new customer who (i) signs up for the Frontro Platform using your affiliate code, (ii) completes a purchase or subscription, and (iii) was not previously a customer of Frontro within the 12 months preceding the referral.

Program Enrollment

Eligibility Requirements

To be eligible for the Frontro Affiliate Program, you must:

1. Be at least 18 years of age or the age of majority in your jurisdiction
2. Have a valid and operational website, blog, social media presence, or other digital platform
3. Provide accurate and complete information in your affiliate application
4. Agree to and comply with all terms of this Agreement
5. Not be a current employee, contractor, or immediate family member of a Frontro employee
6. Not reside in or operate from a jurisdiction where participation in affiliate programs is prohibited

Application and Approval

Enrollment in the Affiliate Program is subject to our review and approval. We reserve the right to accept or reject any application at our sole discretion, without providing a reason. Factors we may consider include:

• The nature and quality of your website or platform
• Your audience demographics and reach
• Your promotional methods and marketing practices
• Your compliance history with other affiliate programs
• Alignment with Frontro's brand values and target market

Upon approval, you will receive access to your affiliate dashboard, unique Affiliate Links, and Affiliate Materials.

Account Information

You are responsible for maintaining the accuracy and security of your affiliate account information. You must promptly update any changes to your contact information, payment details, or tax information. You are solely responsible for all activities that occur under your account.

Commission Structure

Commission Rate

Affiliates earn a commission equal to fifteen percent (15%) of the fee that Frontro receives from each Qualifying Transaction made by a Referred Customer. This is calculated as 15% of Frontro's platform fee, not the total transaction amount.

Commission Calculation

Commissions are calculated solely on Net Revenue actually received by Frontro, excluding refunds, chargebacks, credits, disputes, failed payments, taxes, transaction fees, promotional discounts, and any amounts not ultimately retained by Frontro.

Frontro reserves the right to deduct, reverse, or offset commissions for refunded or disputed transactions, including after commissions have been paid.

Commission Term

Commissions are payable for a maximum period of twenty-four (24) months from the referred customer's first qualifying transaction, after which no further commissions shall be owed.

Termination of Commission Payments

Frontro may terminate commission payments for any Affiliate upon written notice. In such event, Frontro will continue to pay commissions for a period of 90 days following notice, after which all commission obligations shall cease.

Commission Calculation Example

Less: Frontro Platform Fee (20%):              -$20.00

Affiliate Commission (15% of Frontro's $20 fee): $3.00

Payment Terms

Payment Schedule

Commissions are calculated on a monthly basis and paid via Stripe Transfer on the 1st of each month for the previous month's qualifying transactions.

Minimum Payout Threshold

Payments will only be issued when your accumulated unpaid commissions reach a minimum of $10.00 USD. If your balance is below this threshold, your commissions will roll over to the following month until the minimum is met.

Payment Method: Stripe Connected Account

All affiliate commissions are paid exclusively through Stripe Transfers to your connected Stripe account.

Requirements for receiving payouts:

1. Connected Stripe Account: You must connect a valid Stripe account to your Frontro affiliate profile
2. Account Setup Complete: Your Stripe account onboarding must be fully completed, including identity verification and bank account connection
3. Good Standing: Your Stripe account must be in good standing with Stripe (not suspended, restricted, or flagged for review)
4. Valid Banking Information: Your connected bank account must be valid and able to receive transfers

If your account is not eligible for payout:

• Your pending commissions will be held until your account status is resolved
• You will be notified of any issues with your connected Stripe account
• Once your account is back in good standing, pending payouts will be processed in the next monthly payout cycle

Payout Statuses

Currency

All commissions are calculated and paid in United States Dollars (USD). Currency conversion, if applicable, will be handled by Stripe according to their standard conversion rates and policies.

Tax Obligations

You are solely responsible for all taxes applicable to commissions received under this Agreement. Frontro may require you to provide tax documentation (such as IRS Form W-9 for US affiliates or W-8BEN for international affiliates) before processing payments. Frontro may withhold taxes as required by applicable law. Stripe may also collect tax information as part of their account verification process.

Tracking and Attribution

Frontro's tracking, attribution, and commission calculations shall be the sole and authoritative record for determining Affiliate referrals and commissions. Affiliates acknowledge and agree that Frontro's determinations regarding referrals and payouts are final and binding.

Attribution Details

• Tracking Method: Cookie-based tracking with 30-day duration
• Attribution Model: Last-click attribution
• Referral Validity: Referrals must originate from valid Affiliate Links
• Disputes: All tracking and attribution disputes shall be resolved at Frontro's sole discretion

Affiliate Responsibilities

As a Frontro affiliate, you agree to:

Promotional Standards

1. Accurate Representation: Accurately represent Frontro's products, services, features, and pricing in all promotional materials
2. Honest Marketing: Make only truthful claims about Frontro and avoid exaggerated or misleading statements
3. Disclosure Compliance: Clearly and conspicuously disclose your affiliate relationship with Frontro in accordance with FTC guidelines and applicable laws
4. Brand Alignment: Maintain promotional content that aligns with Frontro's brand values and does not damage our reputation

Disclosure Requirements

In accordance with the Federal Trade Commission (FTC) guidelines and similar regulations worldwide, you must clearly disclose your affiliate relationship with Frontro. Examples of compliant disclosures include:

"This post contains affiliate links. If you make a purchase through 
these links, I may earn a commission at no additional cost to you."

"Affiliate Disclosure: I am a Frontro affiliate partner and may 
receive compensation for purchases made through my referral links."

"Sponsored by Frontro | Affiliate"

Content Guidelines

Your promotional content must:

• Be original or properly licensed
• Not infringe on any third-party intellectual property rights
• Comply with all applicable laws and regulations
• Be appropriate for general audiences unless specifically targeted to adults
• Not contain hate speech, discriminatory content, or offensive material

Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination of your affiliate account and forfeiture of unpaid commissions:

Marketing Violations

• Spam: Sending unsolicited emails, messages, or communications promoting Frontro
• False Advertising: Making false, misleading, or unsubstantiated claims about Frontro
• Trademark Infringement: Bidding on Frontro's trademarks or variations in paid search advertising
• Fraudulent Codes: Sharing or using affiliate codes in a deceptive manner without genuine user intent
• Incentivized Clicks: Offering incentives solely to click affiliate links without genuine interest in the product

Technical Violations

• Modifying or tampering with Affiliate Links or tracking codes
• Using automated systems, bots, or scripts to generate clicks or referrals
• Attempting to manipulate or circumvent the affiliate tracking system
• Accessing or attempting to access other affiliates' accounts or data

Legal and Ethical Violations

• Violating any applicable laws, regulations, or industry standards
• Engaging in fraudulent or deceptive practices
• Promoting Frontro on websites containing illegal content, adult content, or content promoting violence or hatred
• Misrepresenting your identity or affiliation with Frontro
• Disparaging Frontro, its products, employees, or other affiliates

Self-Referrals

Using your own Affiliate Links to make purchases for yourself, your business, or your immediate family members is prohibited and will not qualify for commissions.

Prohibited Claims

Affiliates may not make any representations, warranties, guarantees, or statements regarding actual or potential earnings, income, financial results, or business success derived from using Frontro, except as expressly authorized in writing by Frontro.

Affiliates may only use Frontro-approved marketing language and materials and may not embellish, extrapolate, or imply results beyond what is explicitly stated in such materials.

Fraud and Abuse

Affiliates may not engage in fraudulent, deceptive, or abusive practices, including but not limited to:

• Self-referrals or referrals of related parties
• Artificial account creation
• Traffic manipulation
• Incentive abuse
• Attempts to circumvent Frontro's tracking systems
• Coordinated schemes to generate non-genuine referrals
• Using automated systems or bots to simulate user activity

Clawback Rights

Frontro may withhold, reverse, or claw back commissions associated with fraudulent or abusive activity, and Frontro's determination regarding attribution, fraud, or abuse shall be final and binding.

Brand Usage

Frontro grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use Frontro's approved trademarks and marketing assets solely for participation in the Affiliate Program.

Restrictions on Brand Usage

• Affiliates may not imply partnership, endorsement, sponsorship, or agency with Frontro
• All use of Frontro branding must be in accordance with brand guidelines provided
• Affiliates may not alter, modify, or create derivative works of Frontro's logos or trademarks
• Frontro may revoke brand usage rights at any time for any reason

Revocation

Upon revocation of brand usage rights or termination of this Agreement, Affiliates must immediately cease all use of Frontro's trademarks, logos, and marketing materials across all platforms and media.

Intellectual Property

License Grant

Subject to the terms of this Agreement, Frontro grants you a limited, non-exclusive, non-transferable, revocable license to use the Affiliate Materials solely for the purpose of promoting Frontro and generating Qualifying Transactions.

Restrictions

You may not:

• Modify, alter, or create derivative works of the Affiliate Materials without prior written consent
• Use Frontro's trademarks, logos, or brand elements except as provided in the Affiliate Materials
• Register or attempt to register any domain names, social media handles, or other identifiers containing Frontro's trademarks or confusingly similar variations
• Imply any endorsement, sponsorship, or affiliation beyond your role as an affiliate

Your Content

You retain all rights to your original content used in promoting Frontro. By submitting promotional materials or content featuring Frontro to us for review, you grant Frontro a non-exclusive, royalty-free license to use such content for marketing and promotional purposes.

Confidentiality

Confidential Information

You agree to maintain the confidentiality of all non-public information disclosed to you by Frontro, including but not limited to:

• Commission rates and payment terms (unless publicly disclosed)
• Affiliate program strategies and upcoming features
• Customer data and analytics
• Technical information and trade secrets
• Business plans and financial information

Obligations

You shall:

• Use confidential information solely for purposes of participating in the Affiliate Program
• Not disclose confidential information to any third party without prior written consent
• Take reasonable measures to protect the confidentiality of such information
• Promptly notify Frontro of any unauthorized disclosure

Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no fault of yours
• Was known to you prior to disclosure by Frontro
• Is independently developed by you without use of confidential information
• Is required to be disclosed by law or court order (with reasonable notice to Frontro)

Term and Termination

Term

This Agreement begins upon your acceptance into the Affiliate Program and continues until terminated by either party.

Termination by You

You may terminate your participation in the Affiliate Program at any time by providing written notice to Frontro at affiliates@frontro.com. Upon termination, you must immediately cease all promotional activities and remove all Affiliate Links and Affiliate Materials from your platforms.

Termination by Frontro

Frontro may terminate your participation in the Affiliate Program:

• For Convenience: At any time, for any reason, with 30 days' written notice
• For Cause: Immediately, without notice, if you breach any term of this Agreement

Effect of Termination

Upon termination:

1. All rights and licenses granted to you under this Agreement will immediately terminate
2. You must immediately stop using all Affiliate Materials and Affiliate Links
3. You will remain entitled to receive commissions earned prior to termination, subject to the payment terms and conditions herein
4. Frontro may withhold final payment for 90 days to account for potential refunds or chargebacks
5. Sections relating to confidentiality, indemnification, limitation of liability, and general provisions shall survive termination

Commission Continuation After Termination

If this Agreement is terminated for convenience (not for cause), you will continue to receive commissions on Qualifying Transactions from Referred Customers who were properly attributed to you before termination, subject to the 24-month commission duration period and all other terms of this Agreement.

Compliance Suspension

Frontro reserves the right, in its sole discretion, to immediately suspend or terminate an Affiliate's participation in the Affiliate Program, with or without notice, if Frontro determines that the Affiliate's marketing, promotion, or conduct may expose Frontro to regulatory, legal, reputational, or compliance risk, including but not limited to violations of advertising, consumer protection, or disclosure laws.

Grounds for Compliance Suspension

Frontro may suspend an Affiliate's participation for:

• Violations of FTC disclosure requirements
• Misleading or deceptive marketing practices
• Unauthorized earnings claims or income representations
• Activities that may expose Frontro to regulatory investigation
• Conduct that damages Frontro's reputation or brand
• Suspected violations of consumer protection laws
• Any conduct that Frontro reasonably believes creates legal or compliance risk

Effect of Compliance Suspension

During any suspension or following termination under this section, Frontro may withhold unpaid commissions without obligation. Frontro is not required to provide advance notice of suspension under this section when immediate action is necessary to protect Frontro's interests.

Disclaimers

No Guarantees

FRONTRO MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE AMOUNT OF COMMISSIONS YOU MAY EARN OR THE SUCCESS OF YOUR PROMOTIONAL EFFORTS. YOUR RESULTS MAY VARY BASED ON NUMEROUS FACTORS, INCLUDING YOUR MARKETING SKILLS, AUDIENCE, AND MARKET CONDITIONS.

Platform Availability

FRONTRO DOES NOT GUARANTEE UNINTERRUPTED ACCESS TO THE AFFILIATE PROGRAM, TRACKING SYSTEMS, OR PAYMENT PROCESSING. WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY ASPECT OF THE PROGRAM AT ANY TIME.

As-Is Basis

THE AFFILIATE PROGRAM, AFFILIATE MATERIALS, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRONTRO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Exclusion of Damages

IN NO EVENT SHALL FRONTRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER FRONTRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Basis of the Bargain

THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN FRONTRO AND YOU.

Indemnification

Affiliates agree to indemnify, defend, and hold harmless Frontro and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, penalties, fines, investigations, and expenses (including reasonable attorneys' fees) arising out of or related to:

1. The Affiliate's marketing activities and promotional content
2. Any representations, warranties, or statements made by the Affiliate
3. Violations of law, including but not limited to FTC regulations, advertising laws, consumer protection laws, and disclosure requirements
4. Breach of this Agreement
5. Claims by Referred Customers, regulatory agencies, or other third parties related to the Affiliate's conduct
6. Any regulatory investigation, inquiry, or enforcement action triggered by the Affiliate's activities

Scope of Indemnification

This indemnification obligation includes but is not limited to:

• Legal fees and costs of defense
• Settlement amounts and judgments
• Regulatory fines and penalties
• Costs of compliance remediation
• Investigative costs
• Reputational damage mitigation costs

Survival

The indemnification obligations in this section shall survive termination of this Agreement and shall apply regardless of whether the Affiliate's participation in the Affiliate Program has ended.

Local Law Compliance

Affiliates are solely responsible for compliance with all applicable laws, regulations, taxes, and advertising standards in their jurisdiction, including but not limited to:

• Disclosure and transparency requirements
• Consumer protection regulations
• Tax obligations and reporting
• Data privacy and protection laws (including GDPR, CCPA, and similar regulations)
• Anti-spam and electronic communications laws

No Assumption of Liability

Frontro assumes no responsibility for Affiliate compliance with local laws. Affiliates acknowledge that laws vary by jurisdiction and that it is the Affiliate's sole responsibility to understand and comply with all applicable requirements in the jurisdictions where they operate or promote Frontro.

Tax Responsibilities

Affiliates are solely responsible for:

• Determining and paying all applicable taxes on commissions received
• Filing required tax returns and reports
• Maintaining records for tax purposes
• Complying with tax withholding requirements in their jurisdiction

Modifications

Changes to Agreement

Frontro reserves the right to modify this Agreement at any time. We will notify you of material changes via email or through your affiliate dashboard at least 30 days before they take effect. Your continued participation in the Affiliate Program after such changes constitute your acceptance of the modified terms.

Changes to Program

Frontro may modify any aspect of the Affiliate Program at any time, including but not limited to:

• Commission rates and structures
• Payment terms and thresholds
• Tracking methods
• Eligible products and services
• Affiliate Materials and promotional guidelines

We will provide reasonable notice of material changes when practicable.

General Provisions

Entire Agreement

This Agreement constitutes the entire agreement between you and Frontro regarding the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral.

Independent Contractors

You and Frontro are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.

Assignment

You may not assign or transfer this Agreement or any rights hereunder without Frontro's prior written consent. Frontro may assign this Agreement without restriction.

Waiver

The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other provision.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Dispute Resolution

Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the arbitrator's decision shall be final and binding.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services.

Notices

All notices under this Agreement shall be in writing and sent to the email addresses on file. Notices to Frontro should be sent to affiliates@frontro.com.

By participating in the Frontro Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Affiliate Program Terms and Conditions.
